1.1. The term “Service Provider” or “We” refers to OÜ Shoperb, private limited company established under Estonian law, commercial register code 12607629.
1.2. The term “You” refers to user, member or viewer of the service.
1.3. The term “Service” refers to Shoperb.com, the service You are using.
1.4. The term “Content” refers to data, graphics, photos, links etc. that is uploaded under Your Shoperb account.
2. Account terms
2.1. You must be 18 years or older to use our service.
2.2. You may not create more than one free account.
2.3. You must provide Your full legal name, current address, a valid email address, and any other information needed in order to complete the signup process.
2.4. You, and only You are responsible of providing and storing a secure password to login to our service. Service provider can never be held responsible for any damage caused by a lack of securing Your account and login credentials.
2.5. You may never use our service for any illegal or unauthorized activities, nor may You violate any laws in Your own jurisdiction, i.e copyright laws.
2.6. You are responsible for all activity and content (data, graphics, photos, links) that is uploaded under Your Shoperb account.
2.7. You must not transmit any worms or viruses or any code of a destructive nature.
2.8. A breach or violation of any of the Terms of Use as determined in the sole discretion of Service Provider will result in an immediate termination of Your services.
3. General conditions
3.1. You must read, agree to and accept all terms listed in this Terms of Use and the Privacy Policy.
3.2. We reserve the right to modify or terminate the Service for any reason, without notice at any time.
3.3. We reserve the right to change our pricing by giving 30 day notice by e-mail
3.4. We reserve the right to refuse service to anyone for any reason at any time.
3.5. Your use of the Service is at Your sole risk. The Service is provided on an ”as is“ and ”as available“ basis without any warranty or condition, express, implied or statutory.
3.6. The Service Provider does not warrant that the service will be uninterrupted, timely, secure, or error-free nor that the results that may be obtained from the use of the service will be accurate or reliable.
3.7. We have the right, but not obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
3.8. You agree that You, Your activities and any content published through Shoperb shall not be:
3.8.1. illegal fraudulent or involve the sale of stolen items;
3.8.2. be harmful to the Shoperb infrastructure, hardware or software;
3.8.3. manipulate or sabotage the pricing structure of Shoperb;
3.8.4. manipulate or sabotage the checkout process;
3.8.5. copy, modify or distribute any content from Shoperb, our trademarks, slogans and copyrights.
3.9. We do not claim any intellectual property rights over the material You provide to the Shoperb service. All material You upload remains Yours. You can remove all Your Content which have been stored on the Service at any time by deleting Your account.
3.10. You retain ownership over all content that You submit to Shoperb however, by making Your account public, You agree that others can view Your content.
3.11. By uploading images and item description content to Shoperb.com, You agree to allow other internet users to view them and You agree to allow Shoperb to display and store them and You agree that Service Provider can, at any time, review all the content submitted by You to its Service.
3.12. Shoperb does not screen any content but has the right to refuse or remove any content that is available via Shoperb.
3.13. You expressly understand and agree that Service Provider shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the service.
3.14. Shoperb will never intervene or become involved in disputes between You and a third party.
3.15. You understand that information, except credit card information, may be transferred unencrypted, i.e
3.15.1. transmitted over various networks; and
3.15.2. changed to conform and adapt to technical requirements of connecting networks or devices.
3.16. Credit Card information is always encrypted during transfer over networks.
3.17. Technical support is only provided to paying account holders and is only available via email.
4. Payment of fees
4.1. A valid credit card is required to use Shoperb after free trial period.
4.2. If You do not cancel Your account, You will be billed automatically for each month You are using Shoperb after the trial period.
4.3. We may suspend Your account without notice when monthly payments are not met in time.
4.4. All mentioned fees are exclusive of all taxes and VAT charges, unless stated otherwise.
4.5. Cancelling Your account may lead to loss of data and content. Service Provider is not responsible for any loss and accepts no liability for such loss.
4.6. We offer a free trial period which means You can use without having to enter Your credit card details. Because You have the ability to try out our application completely free of charge during the trial period, we do not offer refunds for any payments. If You don't want to be charged again on Your credit card, You can cancel Your account at any time by clicking on the "Account" link in the application.
5. Cancellation and termination of Your account
5.1. You may cancel Your account at any time by "Account" section of Shoperb website. This is the only way to cancel Your account. No email, phone call, SMS or other communication is valid as cancellation.
5.2. Once Your account is cancelled, all Your account content will be immediately removed. This content can not be recovered so please be sure that You do in fact want to cancel Your account.
5.3. If You cancel Your account in the middle of the month You will be charged only for the current month.
5.4. Any offence against Terms of Use will lead to immediate termination of Your account.
5.5. Service Provider reserves the right to modify or terminate the Service for any reason, without notice at any time.
6. Modification to the Service and Prices
6.1. Service Provider reserves the right to change pricing by giving 30 day notice by e-mail.
6.2. Service Provider reserves the right at any time to modify or discontinue the Service or any part of it with or without any notice.
6.3. The Service Provider shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
